MiniShop Reseller Terms & Conditions

Version 1 – 18 October 2026

These terms apply to every reseller who creates or uses a MiniShop provided by DuMey Creations (Pty) Ltd, trading as DMC Wholesale. By ticking “I accept” during setup or on your dashboard, or by using a MiniShop, you accept them in full.

1. Definitions

  1. “DMC”, “we”, “us” means DuMey Creations (Pty) Ltd, trading as DMC Wholesale, Risiville, Meyerton, Gauteng.
  2. “Reseller”, “you” means the person or business that registers for and operates a MiniShop.
  3. “MiniShop” means the online shop DMC builds and hosts for you, at minissite.co.za or your own domain, including its setup pages, dashboard, order tools and e-mails.
  4. “Your customer” means any person who views, orders from or buys from your MiniShop.
  5. “DMC products” means products bought by you from DMC through dmcwholesale.co.za.

2. The main DMC terms still apply

  1. DMC’s Terms of Service, Refund Policy, Shipping Policy and Privacy Policy form part of these terms.
  2. If these MiniShop terms and the main terms differ, these MiniShop terms apply to anything to do with your MiniShop.

3. What the MiniShop is

  1. The MiniShop is a sales tool that DMC builds, hosts and provides so you can sell DMC products under your own shop name. New MiniShops get a free trial (currently 30 days). After that a monthly or yearly subscription applies, at the prices shown on the MiniShop pages.
  2. DMC builds, hosts and maintains the MiniShop. The software, design, templates, product content and pictures remain DMC’s property. You receive a right to use them only while these terms are met.
  3. The MiniShop is a separate shop of yours. It is not a DMC branch, and you are not DMC’s agent, employee or partner.
  4. DMC may change, improve, pause or remove MiniShop features at any time.

4. Permitted use only

  1. You may use the MiniShop only to advertise and sell DMC products that you buy from DMC.
  2. You may not use the MiniShop, its design, content or tools to sell products from any other supplier, offer other services, collect customer details for another business, or copy it for another shop.
  3. The MiniShop is provided at the normal trial and subscription terms only on condition that clause 4.1 is followed at all times. Any other use is misuse and clause 12 applies.

5. Your customers are your responsibility

  1. Every sale made through your MiniShop is a sale between you and your customer. DMC is not a party to that sale.
  2. You alone are responsible for your customers, including your prices, quotes, payment collection, delivery promises, cancellations, refunds, returns, warranties, complaints and any legal duties towards them (including under the Consumer Protection Act).
  3. You must have your own terms for your customers. The MiniShop gives you a General Terms page for this; you are responsible for what it says.

6. DMC does not deal with your customers

  1. DMC will not communicate with, take instructions from, accept payment from, or resolve complaints for your customers. We deal only with you.
  2. If your customer contacts DMC, we will refer them back to you.
  3. You may not tell your customers to contact DMC, or give them DMC’s contact details for support, returns or complaints.

7. Ordering from DMC

  1. A MiniShop order is a request from your customer to you. It is not an order with DMC.
  2. To fulfil it, you must place and pay for your own order with DMC (“Order from DMC”), choosing the DMC shipping option and payment method yourself.
  3. Your order with DMC is subject to DMC’s main terms, including stock availability, back orders, the weekly Sunday 17:00 cut-off and the rule that consolidated orders are final.
  4. Products are only packed and shipped once DMC has received your payment.

8. Pricing, payment and subscription

  1. You set your own selling price through the markup in your MiniShop. DMC prices may change without notice and your MiniShop prices update with them.
  2. Money paid by your customers, whether by EFT, your own payment link or your own PayFast account, is paid to you, not to DMC. You remain responsible for paying DMC for your orders in full.
  3. DMC is not responsible for your payment gateway, its fees, chargebacks or failed payments.
  4. Your MiniShop subscription (free trial, monthly or yearly fee, renewals and reminders) works as described on the MiniShop pages and your dashboard. If the subscription is not paid, DMC may pause the MiniShop until it is paid.

9. Delivery straight to your customer is your choice

  1. You may ask DMC to send your order directly to your customer’s address, locker or kiosk. If you do, that is your choice and at your risk.
  2. DMC ships on your instruction only. When we hand the parcel to the courier or locker, it is treated as delivered to you.
  3. You are responsible for giving the correct customer name, address, phone number and shipping option. Wrong details, failed collections, returns to sender and extra courier costs are for your account.
  4. Because you chose not to receive and check the stock yourself first, DMC cannot confirm what your customer says they received or what condition it arrived in.
  5. DMC is not liable for loss or damage caused by third-party couriers, as set out in the main Shipping Policy.

10. Returns must come to DMC first

  1. No credit, refund, exchange or return cost is approved until the product is back at DMC and we have inspected it. A photo, message or complaint from you or your customer is not enough.
  2. You must report a problem within 1 working day of delivery or collection, via the DMC Customer Care WhatsApp, as in the main Refund Policy.
  3. Once DMC approves a return, you must get the product to DMC within 2 working days, unused, complete and in its original packaging. DMC does not collect returns from you or your customers.
  4. Return courier costs are for your account unless DMC confirms after inspection that the product had a manufacturing fault. In that case DMC decides whether to credit, replace or refund, and whether to cover the return cost.
  5. Damage caused by misuse, neglect, accidents or courier handling after delivery is not a manufacturing fault and is between you and your customer.
  6. Approved credits and refunds are processed on Mondays, to you, never to your customer.

11. Warranty

  1. DMC’s 30-day manufacturing-fault warranty on electronics with a retail value of R699 or more applies to you as DMC’s customer, on the terms of clause 10.
  2. Any extra warranty or guarantee you give your customers is yours alone.

12. IMPORTANT: misuse of the MiniShop and the R4,000 development fee

Read this clause carefully. It can cost you money.

  1. Each MiniShop is custom built, set up and hosted by DMC. The normal development and setup value is R4,000 (four thousand rand) per MiniShop. DMC does not charge this fee separately – you only pay the normal subscription – as long as you use the MiniShop as allowed in clause 4.
  2. If DMC finds that a MiniShop has been used for anything other than selling DMC products bought from DMC, this condition falls away immediately. DMC may then invoice you R4,000 for each MiniShop involved, payable within 7 days of the invoice.
  3. Misuse includes, among other things:
    1. selling, advertising or listing products not bought from DMC;
    2. using the MiniShop, its design, code, content or pictures for another business, website or supplier;
    3. sending your customers or their details to another supplier;
    4. copying, reselling or giving the MiniShop to someone else.
  4. The development fee is in addition to any other amounts you owe DMC and to DMC’s rights in clauses 13 to 15.

13. Buying elsewhere: shop closed without notice

  1. Products sold through your MiniShop must be bought from DMC.
  2. DMC may compare the orders placed in your MiniShop with the orders you place with DMC. You agree that DMC may do this.
  3. If DMC confirms that you sold MiniShop orders using products bought from someone else, DMC may suspend or close your MiniShop immediately and without prior notice, and clause 12 also applies.

14. Misconduct

  1. DMC may also suspend or close your MiniShop immediately, without prior notice, if you:
    1. mislead or treat customers dishonestly, or fail to deliver orders they paid for;
    2. pretend to be DMC, or use DMC’s name in a way that suggests DMC is responsible to your customers;
    3. abuse, threaten or harass DMC staff, other resellers or customers;
    4. use the MiniShop for anything illegal, fraudulent or offensive;
    5. do not pay DMC amounts that are due;
    6. damage DMC’s name or reputation.
  2. DMC may also remove you from DMC’s reseller and promotional WhatsApp groups, and refuse future orders and MiniShops, as in DMC’s main terms.

15. When a MiniShop is closed

  1. Your shop link and own domain will stop working, and your customers will no longer be able to order.
  2. DMC will complete orders you have already paid for, unless the closure is for fraud or non-payment.
  3. You must stop using all DMC content, pictures and designs immediately.
  4. Closing a MiniShop does not cancel any amount you owe DMC, including the development fee.

16. Your customers’ personal information

  1. Under the Protection of Personal Information Act (POPIA) you are the responsible party for your customers’ personal information. DMC only stores and processes it on your behalf to run your MiniShop, send order e-mails and deliver your orders.
  2. DMC will not use your customers’ details to market to them or sell to them directly.
  3. You must only use your customers’ details for their orders and in line with POPIA.

17. Your content

  1. You are responsible for everything you add to your MiniShop, including your shop name, logo, banner, texts, reviews, payment details and links.
  2. Your content must be truthful and must not infringe anyone else’s rights. DMC may remove content that breaks these terms.

18. Limitation of liability

  1. The MiniShop is provided “as is”. DMC does not guarantee that it will always be available, error-free or that it will make you any sales.
  2. DMC is not liable for lost sales, lost profit or any indirect loss, including when the MiniShop, the main website, a payment gateway or e-mail is unavailable.
  3. As far as the law allows, DMC’s total liability to you relating to the MiniShop is limited to the amount you paid DMC for the order in question.
  4. You indemnify DMC against any claim by your customers relating to your sales, prices, service, delivery or returns.

19. Changes to these terms

  1. DMC may update these terms. The latest version will be shown on this page, with its version date.
  2. When the terms change, you will be asked to accept the new version on your setup page or dashboard before you continue. DMC keeps a record of when you accepted (date, time and version).
  3. Continuing to use your MiniShop after a change means you accept the updated terms.

20. General

  1. These terms are governed by the laws of South Africa.
  2. DMC chooses its address in Risiville, Meyerton, Gauteng as its domicilium citandi et executandi.
  3. If any clause is found invalid, the rest of these terms still apply.
  4. DMC not enforcing a clause at a certain time does not mean DMC gives up that right.
